1. Agreement to Terms
By accessing or using GitShine ("Service"), operated by GitShine ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
2. Description of Service
GitShine is a software-as-a-service ("SaaS") platform that enables users to track and automate GitHub repository commits. The Service integrates with GitHub via OAuth to access your repositories and perform commit operations on your behalf according to your configured settings.
3. Eligibility
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.
4. Account Registration and Security
To use the Service, you must create an account using either an email address (via magic link authentication) or GitHub OAuth. You agree to:
- Provide accurate and complete information during registration.
- Maintain the security and confidentiality of your account credentials.
- Promptly notify us of any unauthorized access to or use of your account.
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
5. GitHub Integration and Authorization
The Service requires you to authorize access to your GitHub account via OAuth. By connecting your GitHub account, you:
- Grant the Service permission to access your GitHub repositories and perform commits according to your configured settings.
- Acknowledge that GitHub OAuth access tokens are encrypted using AES-256-GCM before storage in our database.
- Remain responsible for ensuring that any automated commits comply with the terms, policies, and guidelines of the repositories you manage, including any third-party repository policies.
- Understand that you may revoke GitShine's access at any time through your GitHub account settings.
We do not store your GitHub password. We only store an encrypted OAuth token which grants limited access as authorized by you during the OAuth flow.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or GitHub's Terms of Service.
- Generate fraudulent, misleading, or deceptive commit activity, including artificially inflating contribution graphs for the purpose of misrepresenting your work history to employers, clients, or other third parties.
- Commit malicious code, malware, or content that infringes the intellectual property rights of others.
- Interfere with or disrupt the Service, its infrastructure, or other users' use of the Service.
- Attempt to gain unauthorized access to the Service, other user accounts, or any related systems.
- Use the Service in a manner that imposes an unreasonable or disproportionately large load on our infrastructure.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these restrictions.
7. Subscriptions and Payments
Certain features of the Service are available only through paid subscription plans. If you subscribe to a paid plan:
- Payments are processed securely through Stripe. We do not store your full credit card information on our servers.
- Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
- You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until then.
- We reserve the right to change pricing with reasonable notice. Price changes will take effect at the start of the next billing cycle following the notice.
8. Refund Policy
Subscription fees are generally non-refundable, except where required by applicable law. If you believe you are entitled to a refund due to a Service defect or billing error, please contact us at [email protected] within 30 days of the charge. We will review each request on a case-by-case basis.
9. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by GitShine and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
You retain ownership of all content you commit to your GitHub repositories through the Service. We claim no intellectual property rights over the content you create or manage using the Service.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee that GitHub's API will remain available or compatible with our Service, as it is a third-party dependency outside our control.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GitShine, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:
- Your use of or inability to use the Service.
- Any unauthorized access to or alteration of your data or repositories.
- Any commits made through the Service, including unintended or erroneous commits.
- Any third-party conduct on or related to the Service.
- Any interruption, suspension, or termination of the Service.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify, defend, and hold harmless GitShine and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights, including GitHub's Terms of Service.
- Any commits or content created through your use of the Service.
13. Termination
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at [email protected].
Upon termination, your right to use the Service ceases immediately. We will delete your account data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including, without limitation, sections on intellectual property, limitation of liability, indemnification, and governing law) shall survive.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.
Before initiating any formal legal proceedings, you agree to first attempt to resolve disputes informally by contacting us at [email protected]. We will make good-faith efforts to resolve the dispute within thirty (30) days.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and GitShine regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
